The following Terms of Service are entered into by and between You and Learn SFMC ("Company," "we," or "us").

The following terms and conditions, together with any documents they expressly incorporate by reference (collectively, these "Terms of Service"), govern your access to and use of Learn SFMC, including any content, functionality, and services offered on or through Learn SFMC (the "Website") and all associated websites and online portals.

Please read the Terms of Service carefully before you start to use the Website, the Learning Portal, or any other service offered by Learn SFMC. By using the Website, the Learning Portal, or any other service offered by Learn SFMC or by clicking to accept or agree to the Terms of Service when this option is made available to you, including in the purchase of products or services, you accept and agree to be bound and abide by these Terms of Service, our Refund Policy, and our Privacy Policy, incorporated herein by reference. If you do not want to agree to these Terms of Service, you must not access or use the Website, the Learning Portal, and/or any other services/products offered by Learn SFMC.

This Website is offered and available to users who are 18 years of age or older. By using this Website, you represent and warrant that you are of legal age to form a binding contract with the Company and meet all of the foregoing eligibility requirements.

Changes to the Terms of Service

We may revise and update these Terms of Service from time to time at our sole discretion. All changes are effective immediately when we post them and apply to all access and use of the Website and all associated services and platforms offered by Learn SFMC. Your continued use of the Website following the posting of revised Terms of Service means that you accept and agree to the changes.

Privacy

Your use of the Website is also subject to the Company's Privacy Policy. Please review our Privacy Policy, which also governs the Website and informs users of our data collection practices.

Accessing the Website and Account Security

We reserve the right to withdraw or amend this Website and any service or material we provide on the Website and associated platforms at our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Website or associated platforms are unavailable at any time or for any period.

To access the Website or associated platforms and some of the resources they offer, you may be asked to provide certain registration details or other information. It is a condition of your use of the Website that all the information you provide to Learn SFMC is correct, current, and complete.

Email Address Accuracy

Student is solely responsible for providing a valid, accurate, and deliverable email address at the time of purchase and registration. The Company is not responsible for verifying the deliverability of Student-provided email addresses. Any failure to receive communications due to an invalid or unmonitored email address provided by Student shall not constitute non-delivery by the Company.

Intellectual Property and Permitted Use

You are granted a non-exclusive, non-transferable, revocable license to access and use the Website and associated platforms in accordance with these Terms of Service.

You warrant that you will not use the Website for any purpose that is unlawful or prohibited by these Terms. All content included as part of the Service is the property of the Company or its suppliers and protected by copyright and other intellectual property laws. You will not modify, publish, transmit, reverse engineer, create derivative works, or in any way exploit any of the content found on the Website and/or platforms.

The Company name, logo, slogan, and all related names, logos, product and service names, designs, and slogans are trademarks of the Company or its affiliates or licensors. You must not use such marks without prior written permission.

For Educational and Informational Purposes Only

The information contained on this Website and the resources available through this Website are for educational and informational purposes only. They are not intended as and shall not be construed as legal, financial, tax, medical, health, or any other professional advice.

No Guarantees as to Results

You agree that the Company has not made any guarantees about the results of taking any action recommended on this Website, associated platforms, marketing materials, or any other works associated with the Company. Your ultimate success or failure will be the result of your own efforts, your particular situation, and innumerable other circumstances beyond the control of the Company.

Prior results do not guarantee a similar outcome. Results obtained by others applying the knowledge set out in our programs are no guarantee that you will obtain similar results.

Use of Paid Programs and Associated Material

The Company grants you a limited, personal, non-exclusive, non-transferable license to use our programs and associated material for your own personal use. You agree that you are purchasing a revocable license to access our learning portals and programs. Our learning portals, programs, modules, and materials may change from time to time.

Programs you purchase may only be used for your personal use and may not be sold, redistributed, or shared without express written consent. You shall not create derivative works or offer competing products based upon information contained in the programs.

Services Rendered — Delivery and Fulfillment

Delivery of the Product

The sole product purchased by Student is a revocable, non-exclusive, non-transferable, limited-duration license to access the Learn SFMC digital Learning Portal (the "Portal License"). The Company's delivery obligation is fully fulfilled at the moment login credentials are transmitted to the email address provided by Student at purchase (the "Delivery Event").

Acknowledgment of Receipt

Student acknowledges and agrees that:

  • The Delivery Event is the sole trigger for determining that services have been rendered and fulfilled;
  • Transmission of credentials to the email address on file constitutes conclusive proof of delivery;
  • The product is deemed fully delivered as of the Delivery Event, subject to the Refund Policy;
  • Student's decision not to access or complete the Learning Portal does not constitute non-delivery or failure of consideration.

Complimentary Privileges

Nature of Complimentary Privileges

In addition to the Portal License, the Company may extend certain complimentary, non-contractual privileges to enrolled Students ("Complimentary Privileges"). These are not part of the purchased product, not included in the Program fee, provided free of charge, and subject to modification, suspension, or removal at the Company's sole discretion at any time.

Complimentary Privileges May Include

  • Career coaching, interview preparation, salary negotiation guidance
  • Assignment reviews, feedback, and portfolio review sessions
  • Resume optimization and career materials review
  • Premium support from the Learn SFMC team
  • Networking events, whether virtual or in-person
  • Private community access (Discord, Slack, or other platforms)
  • Career resources, job placement guidance, and job search assistance
  • Group support sessions, office hours, and coaching calls
  • Access to guest speakers, industry panels, or employer introductions

Zero dollars ($0.00) of the Program fee is allocated to any Complimentary Privilege. The entire Program fee constitutes payment solely for the Portal License.

Payment Disputes

Prior to initiating any payment dispute, chargeback, or reversal through any financial institution, Student must contact the Company in writing at the designated support email address, clearly state the nature of the dispute, and allow a minimum of fifteen (15) business days to investigate and respond.

Initiating a payment dispute without completing this internal resolution process may result in immediate termination of access to all Program Services.

Student Code of Conduct

By enrolling, you agree to comply with the following rules at all times:

  • Professional Communication — treat staff and fellow students with courtesy
  • Zero Harassment & Discrimination — no hate speech, slurs, or unwelcome conduct
  • Integrity of Work — submit original work unless collaboration is expressly allowed
  • Confidentiality & Privacy — keep all proprietary content inside the Program; no recording without permission
  • Intellectual-Property Respect — content is licensed for personal use only; no redistribution or resale
  • Platform & Account Security — keep logins private; no scraping, bulk download, or reverse-engineering
  • Lawful Conduct — follow all applicable laws
  • Payment Integrity — stay current on any installment plan

Termination and Access Restriction

Right to Suspend or Terminate

Learn SFMC may suspend or permanently terminate a Student's access at any time, with or without prior notice, for:

  • Material breach of these Terms of Service, the Code of Conduct, or any published policy;
  • Harassment, abusive language, or threats toward Company personnel or other students;
  • Conduct that may harm the Company's reputation, operations, or the experience of other students;
  • Suspected fraud or unlawful activity;
  • Failure to make timely payment after a 5-day grace period.

Effect of Termination

Upon termination, Student's license to use all Program Services immediately ceases. All fees paid prior to termination are non-refundable except where expressly required by applicable law.

Appeal Window

Within five (5) business days of the Termination Date, Student may submit a written request for reconsideration. The Company will review in good faith and respond within ten (10) business days. The Company's determination is final.

No Warranties

THE COMPANY MAKES NO WARRANTIES REGARDING THE PERFORMANCE OR OPERATION OF THIS WEBSITE. THE COMPANY FURTHER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE INFORMATION, CONTENTS, MATERIALS, DOCUMENTS, PROGRAMS, PRODUCTS, BOOKS, OR SERVICES INCLUDED ON OR THROUGH THIS WEBSITE AND/OR PLATFORMS. TO THE FULLEST EXTENT PERMISSIBLE UNDER THE LAW, THE COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

Limitation of Liability

YOU AGREE TO ABSOLVE THE COMPANY OF ANY AND ALL LIABILITY OR LOSS THAT YOU OR ANY PERSON OR ENTITY ASSOCIATED WITH YOU MAY SUFFER OR INCUR AS A RESULT OF USE OF THE INFORMATION CONTAINED ON THIS WEBSITE AND/OR THE RESOURCES YOU MAY DOWNLOAD FROM THIS WEBSITE. IN NO EVENT SHALL THE COMPANY'S TOTAL AGGREGATE LIABILITY TO STUDENT FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY STUDENT TO THE COMPANY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Arbitration

To the fullest extent permitted by applicable law, any dispute arising out of or relating to these Terms shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Houston, Texas. Disputes shall be brought solely in the party's individual capacity, not as a class or representative proceeding.

International Users

The Service is controlled and operated from the USA. If you access the Service from outside the USA, you are responsible for compliance with all local laws.

European Union Consumers

For Students in the EU or EEA: by accessing the Learning Portal or activating login credentials prior to the fourteen (14) day withdrawal period under the EU Consumer Rights Directive (2011/83/EU), you expressly consent to immediate performance and acknowledge the loss of the right of withdrawal pursuant to Article 16(m).

Indemnification

You agree to indemnify, defend, and hold harmless the Company, its officers, directors, employees, agents, and third parties for any losses, costs, liabilities, and expenses (including reasonable attorneys' fees) relating to your use of the Website, platforms, or services, or your violation of any terms of this Agreement or applicable laws.

Scope of Purchase — Student Acknowledgment

By enrolling and submitting payment, Student acknowledges that:

  • Student is purchasing solely a revocable license to access the digital Learning Portal for up to one (1) year;
  • Services are deemed fully rendered upon the Delivery Event;
  • All benefits beyond the Portal License are Complimentary Privileges provided free of charge;
  • No marketing material, webinar, sales call, or social media post creates an obligation to deliver Complimentary Privileges.

Entire Agreement

These Terms of Service, together with the Privacy Policy and any enrollment agreement, constitute the entire agreement between Student and the Company. No oral promise or statement shall modify these Terms unless set forth in writing signed by an authorized officer.

Governing Law and Venue

These Terms are governed by the laws of the State of Texas. Any suit shall be filed exclusively in Harris County, Texas.

Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions continue in full force and effect.
